Terms of Service

Please read these Terms of Service ("Terms") carefully before using Mugi (the "App," "Service"), operated by Mugi合同会社 ("Mugi," "we," "us," or "our"). By creating an account or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. Description of Service

Mugi is a language learning application that helps users learn Japanese through interactive mini-games, quizzes, flashcards, and video-based listening practice using real-world video content. Features and content are subject to change, addition, or removal at any time without notice.

2. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your country) to use Mugi. If you are under the age of majority in your jurisdiction, you may only use the App with the involvement of a parent or legal guardian.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information when creating an account and to notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

4. Subscriptions & Payments

4.1 Subscription Plans. Mugi offers auto-renewing subscription plans ("Pro") that unlock access to the App's features. Current plans and pricing are displayed in the App at the time of purchase and may vary by region and currency.

4.2 Free Trial. We may offer a free trial period to new subscribers. A valid payment method is required to start a trial.Unless you cancel before the trial ends, your subscription will automatically convert to a paid subscription and you will be charged at the then-current price for the plan you selected.

4.3 Auto-Renewal. Subscriptions automatically renew for the same duration as the original subscription period unless auto-renewal is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period, at the price you agreed to when subscribing (subject to Section 4.5).

4.4 Payment & Billing. Payment is charged to your Apple ID, Google Play account, or other payment method on file at confirmation of purchase. Subscriptions are managed through the app store or platform through which you purchased them (e.g., Apple App Store, Google Play Store).

4.5 Managing & Cancelling Subscriptions. You can manage or cancel your subscription, and turn off auto-renewal, at any time by going to your Account Settings on the App Store or Google Play after purchase. Cancellation takes effect at the end of the current billing period; you will not be charged again, but you will not receive a refund for the current period. Deleting the App does not cancel your subscription.

4.6 Price Changes. We may change subscription prices from time to time. Any price change will apply no earlier than your next renewal and, where required by law or platform policy, we will notify you in advance.

4.7 Refunds. All purchases are subject to the refund policies of the platform through which you subscribed (Apple or Google). We do not process refunds directly; please contact Apple or Google support for refund requests.

5. YouTube-Embedded Video Content

Some of Mugi's listening and immersion features incorporate publicly available videos from YouTube, played through YouTube's official embedded player.

5.1 Ownership. Videos displayed through Mugi remain the property of their original creators/uploaders and YouTube. Mugi does not host, own, or claim any rights over this video content, and does not modify, redistribute, or download it for playback.

5.2 How it's used. Videos are shown using YouTube's standard embedded player, and playback is subject to YouTube's own Terms of Service (youtube.com/t/terms). By using Mugi's video features, you also agree to comply with YouTube's Terms.

5.3 What you're paying for. Access to the underlying YouTube videos is free and publicly available on YouTube itself — Mugi does not sell, license, or charge for the videos themselves. Mugi's paid features are limited to the learning tools built around that content, such as:

5.4 Availability. Videos may become unavailable if removed by their creator or by YouTube, and Mugi is not responsible for such changes in availability.

6. Intellectual Property

Except for the third-party YouTube content described in Section 5, all content in the App — including but not limited to the Mugi name and logo, app design, user interface, illustrations, mascots, mini-games, quizzes, original written content, and software — is the property of Mugi合同会社 or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or reverse-engineer any part of the App without our prior written permission.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial use, subject to these Terms.

7. User Content

Mugi may allow you to save words, notes, or progress data ("User Content"). You retain ownership of your User Content, but grant us a non-exclusive, worldwide, royalty-free license to store, process, and display it as necessary to operate and improve the App.

9. Disclaimers

THE APP AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Mugi is an educational tool. We make no guarantee regarding language proficiency outcomes, exam results (including JLPT or other certifications), accuracy of translations or dictionary entries, or the availability or content of third-party videos. Language content, including AI-generated or machine-assisted translations, may occasionally contain errors.

We do not warrant that the App will be uninterrupted, secure, or error-free, or that any defects will be corrected.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Mugi合同会社 and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the App.

To the extent permitted by law, our total liability to you for any claim arising from these Terms or your use of the App shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Nothing in these Terms limits liability that cannot be limited or excluded under applicable law.

11. Third-Party Services

The App may link to or integrate with third-party services (including YouTube, and payment processors such as Apple and Google). We are not responsible for the content, policies, or practices of any third-party service. Your use of those services is governed by their own terms.

12. Termination

We may suspend or terminate your access to the App at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to other users, us, or third parties. You may stop using the App and delete your account at any time.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the App or by other reasonable means. Continued use of the App after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of Japan, without regard to its conflict-of-laws principles. Any dispute arising from or relating to these Terms or the App shall be subject to the exclusive jurisdiction of the Kyoto District Court as the court of first instance.

15. Dispute Resolution

If you have a concern or dispute, we encourage you to contact us first at contact@mugi-app.comso we can try to resolve it informally. If a dispute cannot be resolved informally, it shall be submitted to the exclusive jurisdiction of the Tokyo District Court as set out in Section 14 (Governing Law) above. Nothing in this section prevents either party from bringing an individual claim in small claims court where applicable.

16. Apple App Store Terms

If you downloaded the App from the Apple App Store, the following additional terms apply to your use of the App and take precedence over any conflicting terms elsewhere in these Terms with respect to that use:

16.1 Parties. These Terms are an agreement between you and Mugi合同会社 only, not with Apple Inc. ("Apple"), and Apple is not responsible for the App or its content.

16.2 Scope of License. Your license to use the App is limited to a non-transferable license to use the App on any Apple-branded product that you own or control, as permitted by the Usage Rules set forth in the App Store Terms of Service.

16.3 Maintenance and Support. Mugi合同会社, not Apple, is solely responsible for providing any maintenance and support for the App, to the extent required by applicable law.

16.4 Warranty. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App to you, if any. To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty are Mugi合同会社's sole responsibility, as set out in Sections 9 and 10 above.

16.5 Product Claims. Mugi合同会社, not Apple, is responsible for addressing any claims by you or a third party relating to the App or your possession and/or use of the App, including but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to an applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

16.6 Intellectual Property Claims. In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Apple is not responsible for the investigation, defense, settlement, or discharge of any such infringement claim.

16.7 Legal Compliance. You represent and warrant that (i) you are not located in a country subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

16.8 Developer Contact. Questions, complaints, or claims regarding the App should be directed to Mugi合同会社 atcontact@mugi-app.com.

16.9 Third-Party Beneficiary. You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary of these Terms.
